(5.) Single Member Companies

Public companies within Belize must have at minimum seven members. Private companies must have a minimum of two. Members of companies where these minimums are not met for six months and whom are cognizant of this continued operation will be jointly and severally liable for any debts occurring during the period where the ownership level does not meet the minimum level required. They may also be sued for the same without joinder relating to the action of any other member.[53]
